1. Acceptance of Terms
By installing, accessing, or using the HeiChat application ("Service", "App") available on the Shopify App Store, you ("User", "Merchant") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not install or use the App.
2. Description of Service
HeiChat is an advanced AI-powered customer service automation tool designed for Shopify merchants. The Service integrates multiple Large Language Models (LLMs)—including but not limited to OpenAI (GPT series), Google (Gemini), Anthropic (Claude), and xAI (Grok)—to answer customer inquiries, recommend products, and provide order status updates based on the data provided by the Merchant.
3. AI Output and Accuracy Disclaimer
Nature of AI: You acknowledge that the Service utilizes third-party artificial intelligence technologies to generate responses. AI systems may occasionally produce incorrect, biased, or misleading information ("Hallucinations").
No Guarantee: HeiChat does not guarantee the accuracy, completeness, or reliability of any response generated by the bot, regardless of which underlying AI model (e.g., GPT, Claude, Gemini, or Grok) is used.
Merchant Responsibility: It is your sole responsibility to monitor the bot's interactions and ensure the information provided to your customers (especially regarding pricing, policy, and product details) is accurate. HeiChat is not liable for any refunds, disputes, financial losses, or reputation damage caused by AI-generated responses.
4. Data Access and Third-Party Processing
To provide the Service, HeiChat requires access to certain data from your Shopify store, including product catalogs, order history, and store policies.
Third-Party AI Processors: You explicitly acknowledge and agree that anonymized interaction data and context may be processed by third-party AI providers to generate responses. These providers include OpenAI, Google, Anthropic, xAI, and other similar service providers we may integrate in the future.
Data Usage: We use this data solely to train/fine-tune the bot for your specific store and to facilitate customer interactions.
5. Data Retention and Deletion (Uninstallation Policy)
12-Month Retention: Upon your uninstallation of the App, HeiChat will retain your bot configurations, chat history, and knowledge base settings for a period of 12 months. This policy is designed to facilitate a seamless restoration of service should you decide to re-install the App within this timeframe.
Permanent Deletion: If you do not re-install the App within 12 months of uninstallation, all your data will be permanently deleted from our servers.
Shopify Mandated Deletion (GDPR/CCPA Compliance): Notwithstanding the above, if we receive a mandatory data deletion request from Shopify (specifically shop/redact or customers/redact webhooks) indicating that you have requested data deletion or closed your store, we will delete your data within 48 hours as strictly required by Shopify's Partner Program policies, regardless of the 12-month retention period.
6. Billing and Subscription
Shopify Billing: All fees for HeiChat are billed directly through the Shopify Invoice system.
Changes: We reserve the right to modify our pricing plans. Any changes will be communicated via the App or email.
Refunds: Refunds are processed at our sole discretion and in accordance with Shopify's billing policies. Uninstallation does not automatically trigger a refund for the current billing cycle.
7. Intellectual Property
Your Content: You retain ownership of all data, text, and materials you upload to HeiChat (e.g., your Knowledge Base and Store Policies).
Our Service: HeiChat retains all rights, title, and interest in and to the App's source code, algorithms, interface design, and usage data analytics.
8. Limitation of Liability
To the maximum extent permitted by law, HeiChat shall not be liable for any indirect, incidental, special, or consequential damages arising from:
- The use or inability to use the Service.
- Errors, inaccuracies, or offensive content generated by the AI models.
- Service Interruptions: Downtime or service failures caused by third-party providers, including but not limited to Shopify, OpenAI, Google, Anthropic, or xAI.
9. Changes to Terms
We reserve the right to update these Terms at any time. We will notify you of significant changes via email or an in-app notification. Continued use of the App after such changes constitutes acceptance of the new Terms.
